How does TermScout work at a high level?

TrustMark™ certifies that a contract is market-aligned and ready for review, helping reduce redlines and accelerate approvals.

TermScout follows a structured process to evaluate and certify contracts: analyze, benchmark, generate signals, and certify.

First, TermScout evaluates the contract by transforming the agreement into structured dataacross hundreds of attributes. Each clause is broken down and categorized so it can be evaluated consistently.

Second, the contract is benchmarked against market data derived from real-world agreements. This benchmarking compares each term to established market ranges to determine whether it aligns with typical positions or falls outside expected norms.

Third, contract signals are generated based on this comparison. These signals identify out-of-market terms, highlight areas of deal friction, and classify how each clause performs relative to the market.

Finally, if the contract meets defined certification standards, it is certified with TrustMark™. Certification is based on the overall set of contract signals and whether the agreement falls within acceptable market thresholds.
